1. About these terms

These terms are an agreement between you and ILSA Labs Pty Ltd (ABN 65 693 769 658), a company registered in Australia, which operates teo. In these terms, "we", "us" and "our" mean ILSA Labs Pty Ltd, and "you" means the person using teo.

teo is available at helloteo.com.au.

By creating an account or using teo, you agree to these terms. If you do not agree to them, do not use teo.

Our Privacy Policy forms part of these terms and explains how we handle your personal information.


2. Eligibility

teo is for people aged 18 years and over.

You must be at least 18 to create an account. We ask for your date of birth when you sign up and we do not create an account for anyone who tells us they are under 18.

You must also have the legal capacity to enter into this agreement, and you must not have been previously removed from teo by us.


3. What teo is

teo is a conversation platform for two people. Both participants join a session at the same time from their own devices, choose one topic, and talk to each other. An artificial intelligence facilitator, which we call teo, is present throughout the session. It observes the conversation, and it speaks when it judges that doing so is useful.

teo is a communication tool. Nothing more than that.


4. What teo is not

This section is important and we ask you to read it carefully.

teo is not a health service. It does not provide therapy, counselling, mediation, medical advice, psychological advice, or legal advice. It does not diagnose, assess or treat any person or any condition. Nothing that happens in a teo session is clinical care, and no record of a session forms part of any medical or clinical record.

teo is not a substitute for professional help. If you need therapy, counselling, mediation, medical care, or legal advice, please seek it from a qualified professional.

teo is not for use in a crisis or emergency. If you or someone else is in immediate danger, call 000. Lifeline is 13 11 14. 1800RESPECT is 1800 737 732. 13YARN is 13 92 76.

teo is not appropriate where someone is unsafe. Facilitated conversation is not suitable for relationships involving family or domestic violence, coercion, or fear of the other participant. If any of that describes your situation, please do not use teo, and please contact 1800RESPECT on 1800 737 732.

teo does not take sides and does not decide who is right. It has no view about the merits of anything you discuss.

We are not responsible for the decisions you make, the agreements you reach, or the consequences of either. What you decide is yours.


5. Your account

To use teo you create an account with your mobile number, your first name and your date of birth. We verify your mobile number by sending you a one-time code.

You are responsible for your account and for anything done through it. Keep your device secure. If you believe someone else has accessed your account, contact us at support@helloteo.com.au.

You must give us accurate information. Do not create an account using someone else's mobile number, or using a false date of birth.

One person, one account. Do not share an account with another person, including the person you have conversations with. teo is built on the premise that each participant is a distinct individual.


6. How sessions work, and consent

teo operates on consensus. This is a design principle and it is also a term of this agreement.

  • A conversation does not exist until one person invites another and that person accepts.
  • A session does not begin until both participants indicate they are ready.
  • Nothing is kept unless both participants confirm it.
  • Either participant can end a session at any time, for any reason or none. When one person ends it, it ends for both.

By sending an invitation, you confirm that you have a genuine relationship with the person you are inviting, that you reasonably believe they would want to receive it, and that you are not sending it to pressure, harass or coerce them. You may only enter a mobile number that belongs to a real person you know.

We send one invitation message per invitation. We do not send reminders.


7. Acceptable use

You must not use teo to:

  • harass, threaten, abuse, intimidate, coerce or stalk another person
  • impersonate another person, or misrepresent who you are
  • discuss or plan anything unlawful
  • attempt to obtain professional advice of a kind teo does not provide, or to use anything said in a session as though it were professional advice
  • record, transcribe, screenshot or otherwise capture a session without the other participant's knowledge and agreement
  • use teo on behalf of a third party, or as part of a service you provide to others, without our written agreement
  • access teo by automated means, scrape it, reverse engineer it, or attempt to extract its underlying models or prompts
  • probe, scan or test the security of our systems, or interfere with their operation
  • circumvent any limit, safety feature, age restriction or access control
  • use teo if you are under 18, or help anyone under 18 to use it

We may investigate suspected breaches and take any action we consider appropriate, including ending a session, suspending an account, or removing access permanently.


8. Safety, and when teo ends a session

teo is designed to recognise when a conversation has moved outside what it can appropriately facilitate. When that happens, teo will say so and end the session.

This includes, but is not limited to, conversations where:

  • a participant indicates they may be at risk of harming themselves or another person
  • a participant indicates they are afraid of the other participant
  • sustained hostility or contempt continues after teo has asked the participants to pause

When teo ends a session for these reasons, it will point you towards services that can help. Please use them. teo ending a session is not a judgement about you or your relationship. It is teo recognising the limits of what it is.

These safeguards are automated and imperfect. They may end a session that did not need to end, and they may fail to recognise a situation that warranted it. They are not monitoring, they are not supervision, and they must not be relied upon as a safety net. If someone is at risk, contact emergency services directly.

We do not monitor sessions. No person at ILSA Labs reads, listens to or reviews the content of your conversations.


9. What is kept, and the session summary

We do not store the content of your conversations. There is no transcript, no chat history and no recording. Our systems are built without a store for conversation content.

At the end of a session, teo generates a summary of the discussion and anything the participants agreed. Each participant may download their own copy. We do not retain the summary after the session ends.

Once a session is over, we cannot retrieve it, restore it, or produce it for you or for anyone else. If you want the summary, download it before you close the session.

The summary belongs to you and the other participant. What you do with your copy is your responsibility. Consider that it describes a private conversation involving another person before you share it.

10. Third party services

teo uses third party services to operate, including services that transmit messages, verify mobile numbers, host our systems, and provide the artificial intelligence that powers the facilitator. Your use of teo involves these services. They are described in our Privacy Policy.

We choose these providers carefully but we do not control them, and we are not responsible for their acts or omissions beyond our obligations under Australian privacy law.


11. Fees

teo is currently provided free of charge.

We may introduce fees in future. If we do, we will tell you before any fee applies to you, and you will be able to decide whether to continue. We will never charge you without your express agreement.


12. Intellectual property

We own teo, including the platform, the facilitation system, the software, the design, the name teo, and the teo wordmark. Nothing in these terms transfers any of that to you.

We grant you a personal, non-exclusive, non-transferable, revocable licence to use teo for your own personal, non-commercial use, in accordance with these terms.

You retain ownership of what you say in a session. Because we do not store conversation content, we do not hold it, use it, analyse it, or train any model on it.

The summary generated at the end of a session is yours and the other participant's to use as you wish.


13. Availability

We aim to keep teo available, but we do not promise that it will be available at all times, uninterrupted, or free of faults.

We may modify, suspend or discontinue any part of teo at any time. Where we plan to discontinue teo altogether, we will give reasonable notice where it is practical to do so.

A session may be interrupted by a fault, an outage, a connectivity problem, or a failure of a third party service. If that happens, the conversation is not recoverable, because there is nothing stored to recover.


14. Consumer guarantees

Nothing in these terms excludes, restricts or modifies any guarantee, right or remedy you have under the Australian Consumer Law or any other law that cannot lawfully be excluded.

If a consumer guarantee applies and we fail to meet it, and the failure does not amount to a major failure, our liability is limited, at our option, to resupplying the service or paying the cost of having the service supplied again.


15. Disclaimers and limitation of liability

Subject to clause 14:

teo is provided on an "as is" basis. We do not warrant that teo will be accurate, appropriate, effective, or suitable for your circumstances. The facilitator is an artificial intelligence system. It may misread a situation, respond poorly, or say something unhelpful.

To the maximum extent permitted by law, we are not liable for:

  • the outcome of any conversation, or any decision, agreement or action arising from one
  • any effect a conversation has on your relationship with the other participant
  • anything the other participant says, does, or later does with a summary
  • any failure of the safety features described in clause 8
  • any indirect, incidental, special or consequential loss, including loss of profit, loss of opportunity, or loss of data
  • any loss arising from a session being interrupted or unrecoverable

To the maximum extent permitted by law, our total liability to you for all claims arising out of or in connection with teo is limited to one hundred Australian dollars (AUD $100), or, if you have paid us fees in the twelve months before the claim, the amount of those fees.


16. Indemnity

You indemnify us against any claim, loss, liability or cost arising from your breach of these terms, your misuse of teo, or your infringement of another person's rights, except to the extent it was caused by us.


17. Suspension, termination and deletion

You may stop using teo at any time. You may ask us to delete your account by contacting support@helloteo.com.au. We will delete your account information within 7 days of your request, except where we are required by law to retain something.

We may suspend or terminate your access if you breach these terms, if we reasonably suspect misuse, if we are required to by law, or if we discontinue teo.

Clauses 12, 14, 15, 16 and 19 survive termination.


18. Changes to these terms

We may update these terms. Each version carries a version number and an effective date.

If a change is material, we will notify you before it takes effect and ask you to agree to the updated terms the next time you sign in. If you do not agree, you may stop using teo and ask us to delete your account.

We keep a record of which version of these terms you accepted and when.


19. General

Governing law. These terms are governed by the laws of Western Australia. You and we submit to the non-exclusive jurisdiction of the courts of Western Australia.

Severability. If any part of these terms is found to be unenforceable, that part is severed and the rest continues to apply.

No waiver. If we do not enforce a term, that is not a waiver of our right to enforce it later.

Assignment. You may not assign your rights under these terms. We may assign ours to a related body corporate or in connection with a sale of the business, on notice to you.

Entire agreement. These terms and the Privacy Policy are the entire agreement between you and us about teo.
